Terms of Use Agreement

1.1These Terms of Use ("Terms") govern your access to and use of the website located at bconic.com (the "Site"), operated by Bconic Technology Inc. ("Bconic", "we", "us", or "our"), a company incorporated in Ontario, Canada.

1.2By accessing or using any part of the Site, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree with these Terms, you must immediately cease using the Site.

1.3Bconic reserves the right to modify these Terms at any time. Updated Terms will be effective immediately upon posting to the Site. Your continued use of the Site after such modifications constitutes your acceptance of the modified Terms.

2.1The Site provides informational content about Bconic's marketing data software and related services. The content is intended for informational purposes only and does not constitute a binding offer to license software.

2.2Subject to these Terms, Users are permitted to engage with the Site through the following activities: reading marketing and technical content, subscribing to the Bconic newsletter, and booking a product demonstration via the provided form or calendar.

2.3By accessing the Site, Users expressly covenant and agree to the following conditions: (a) to use the Site solely for lawful purposes; (b) to provide accurate and current information when utilizing contact forms; (c) to refrain from misusing or attempting to gain unauthorized access to the Site; (d) to not reproduce, distribute, modify, create derivative works of, or publicly display Site content without Bconic's prior express written consent; and (e) to abstain from using any automated means, including but not limited to web crawlers, robots, spiders, or other data gathering and extraction tools to scrape, reproduce, or collect any content from the Site without Bconic's explicit written permission.

3.1All content on the Site, including text, graphics, logos, images, and software, is the property of Bconic and protected by Canadian and international intellectual property laws.

3.2Users are granted a limited, non-exclusive, non-transferable licence to view the Site content for personal, non-commercial purposes only.

3.3Bconic retains all rights, title, and interest in its intellectual property, including any software, trademarks, and proprietary materials.

4.1By subscribing to the newsletter or using contact forms, you consent to Bconic storing and using your provided information for communication purposes.

4.2You may opt-out of the newsletter at any time by following the unsubscribe instructions in any newsletter email.

4.3Information submitted through contact forms will be handled in accordance with Bconic's Privacy Policy.

5.1Access to Bconic's marketing data software platform is governed via separate Services Agreements that govern the terms of software use, licensing, data handling, and other specific provisions related to the Bconic platform.

6.1The Site and its content are provided "as is" and "as available" without any warranties of any kind, either express or implied.

6.2Bconic does not warrant the accuracy, completeness, or reliability of any Site content, and such content may contain technical inaccuracies or typographical errors.

6.3The informational content on the Site does not constitute professional advice and should not be relied upon as such.

7.1To the maximum extent permitted by applicable law, Bconic shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

• Use or inability to use the Site
• Any content or services provided through the Site
• Unauthorized access or alteration of your transmissions or data
• Statements or conduct of any third party on the Site

7.2The total liability of Bconic, whether in contract, tort, or otherwise, shall not exceed the amount of $100 CAD.

8.1You agree to indemnify, defend, and hold harmless Bconic, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Site
• Violation of these Terms
• Violation of any rights of another party

9.1Bconic may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including if you breach these Terms.

9.2Upon termination, your right to access the Site will immediately cease.

10.1These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

10.2Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

11.1These Terms constitute the entire agreement between you and Bconic regarding the Site.

11.2If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

11.3Bconic's failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
